Ranieri Law Professional Corporation (“Ranieri Law”) provides this website (the “Website”), its content, publications, client portal, newsletters, blog posts, downloadable materials, and social media platforms as a general information resource only. The information contained on the Website is not intended to constitute legal advice, legal opinions, or other professional advice and should not be relied upon as such. You should not act or refrain from acting based upon any information contained on the Website, Content (defined below), or social media platforms without first obtaining appropriate legal advice.

Accessing, browsing, using, downloading materials from, subscribing to, communicating through, or otherwise interacting with the Website, including through contact forms, consultation requests, newsletters, e-mail communications, social media platforms, or the client portal, does not create a lawyer-client relationship between you and Ranieri Law. A lawyer-client relationship is only established after Ranieri Law has completed any required conflict checks, confirmed its ability to act, and entered into a written retainer agreement with the client. 

 

Prior results, testimonials, endorsements, case studies, and client reviews do not guarantee a similar outcome in any future representation or matter.  

 

Ranieri Law and its legal practices accept no responsibility for any loss or damage that may result from accessing or relying upon the Website, Content (defined below), or social media platforms, and disclaims, to the fullest extent as permitted by applicable law, any and all liability with respect to any acts or omissions made by clients or readers based on the Website, Content (defined below), or social media platforms. 

 

This Terms of Use Agreement (the “Terms of Use” or “Agreement”) describes the terms and conditions applicable to your access and use of the Website. You accept this Agreement by using the Website or accessing any content available through the Website (collectively, the “Content”). Ranieri Law may revise this Agreement at any time by posting the revised Terms of Use on the Website, and you agree that your use of the Website after such changes will constitute your acceptance of such changes. Changes to this Agreement will not be applied retroactively.

 

  • Website & Content Changes. Ranieri Law may make changes to the Website, Content, and services described on the Website at any time without prior notice to you.
     

  • Geographic Limitation. This Website is intended primarily for individuals and businesses located in Canada. Legal information provided on the Website may not reflect the laws of other jurisdictions. Accessing the Website from another jurisdiction does not imply that Ranieri Law is authorized to provide legal services in that jurisdiction. 

  • Proprietary Rights. The Website and Content are the sole and exclusive property of Ranieri Law and its licensors. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose any portion of the Website or Content, other than as expressly authorized by Ranieri Law in writing. You hereby acknowledge and agree that, as between Ranieri Law and you, all right, title, and interest in and to the Website and Content shall be owned exclusively by Ranieri Law. Use of the Website or Content in any way not expressly permitted by this Agreement is strictly prohibited.
     

  • Permitted Uses. You agree that you will not remove or modify any acknowledgments, credits or legal notices contained on the Website or in the Content. Special terms may apply to some services offered on the Website and may be posted in connection with the applicable service, feature, or activity. Any such terms are in addition to this Agreement and, in the event of a conflict, any such terms shall prevail.
     

  • Additional Restrictions. You agree not to access the Website by any means other than through a standard web browser on a computer, tablet, or mobile device. You further agree that you will not damage, disable, overburden, or impair the Website or interfere with any other party’s use and enjoyment of it. 
     

  • General Information. The Content available on the Website is intended to be a general information resource and is provided solely on an “AS IS” and “AS AVAILABLE” basis. You are encouraged to confirm the information contained herein. You should not construe Ranieri Law’s publication of the Website as a warranty or guarantee of the quality or availability of any services. 
     

  • No Confidential Information. You should not send confidential, privileged, proprietary, sensitive, or time-sensitive information through the Website, online forms, e-mail, social media platforms, or other electronic communication channels until a formal lawyer-client relationship has been established. While Ranieri Law employs reasonable administrative, technical, and physical safeguards to protect electronic communications, no method of transmission over the Internet or electronic storage can be guaranteed to be completely secure. Information transmitted before a lawyer-client relationship is established may not be protected by solicitor-client privilege and may not be treated as confidential. 

  • Electronic Communications. By communicating with Ranieri Law electronically, you consent to receiving communications electronically. Electronic communications may not always be secure, timely, error-free, or uninterrupted, and Ranieri Law does not guarantee the security or reliability of electronic communications. 

  • Third-Party Sites. The Website may contain links to websites operated by other parties. Ranieri Law provides these links to other websites as a convenience, and the use of these sites is at your own risk. The linked sites are not under the control of Ranieri Law, and Ranieri Law is not responsible for the content available on the other sites. Such links do not imply Ranieri Law’s endorsement of information or material on any other site, and Ranieri Law disclaims all liability regarding your access to and use of such linked websites. 
     

  • Social Media Platforms. Content published on Ranieri Law's social media platforms is provided for general information purposes only and does not constitute legal advice. Interacting with, following, commenting on, messaging, tagging, or otherwise engaging with Ranieri Law through social media does not create a lawyer-client relationship. 

  • Links to the Website. You may link to the Website provided that such linking does not imply any sponsorship, endorsement, affiliation, approval, or association by Ranieri Law where none exists. You may not frame, mirror, scrape, reproduce, or otherwise incorporate any portion of the Website into another website or service without Ranieri Law's prior written consent. Ranieri Law reserves the right to require removal of any link to the Website at its sole discretion.    
     

  • Trademarks. Unauthorized use of any of Ranieri Law’s trademarks, service marks, designs or logos (the "Marks") is prohibited and a violation of applicable trademark laws. Any use of such Marks, whether registered or unregistered, is strictly prohibited without Ranieri Law's prior written consent. Nothing contained on the Website or Content may be construed as granting, by implication, estoppel, or otherwise, any license to use the Marks. 
     

  • Website Availability. Ranieri Law reserves the right to modify, suspend, restrict, discontinue, or terminate all or any portion of the Website, Content, client portal, or related services at any time without notice or liability.

  • Indemnity. You agree to indemnify, defend and hold Ranieri Law, its affiliates and respective directors, officers, agents, members, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, due to or arising out of your use of the Website or breach of this Agreement.
     

  • Passwords. Any passwords and user IDs used for the client portal are for individual business use only. You will be responsible for the security of your password and user ID (if any). Ranieri Law will be entitled to monitor your password and user ID and, at its discretion, require you to change it. You further agree not to disclose your password or user ID to any other person, and Ranieri Law will not be responsible for the unauthorized use of your account by anyone else. You agree to notify Ranieri Law immediately upon becoming aware of any known or suspected unauthorized use of your password or user ID to gain access to your account, any breach of security, or if you believe your password or user ID is lost, stolen, disclosed, or otherwise compromised by e-mailing info@ranierilaw.ca. Ranieri Law is not liable for any loss or damage arising from your failure to comply with this provision. While Ranieri Law utilizes commercially reasonable safeguards to protect information transmitted through the client portal, no electronic transmission, storage system, or online platform can be guaranteed to be completely secure. Users remain responsible for maintaining the confidentiality of their login credentials and promptly reporting any suspected unauthorized access or security incident.

Except for your use as authorized above, you may not modify, reproduce, or distribute the content, design or layout of the Website, or individual sections of the Website's content, design, or layout, without Ranieri Law’s prior written consent.
     

  • Intellectual Property Notices. If you believe that your trademark or work has been copied in a way that constitutes trademark or copyright infringement, or your intellectual property rights have been otherwise violated, please provide the following information to the Website’s IP Agent:

    • An electronic or physical signature of the owner or person authorized to act on behalf of the owner of the trademark, copyright or other intellectual property interest;

    • Identification of the trademark, copyrighted work or other intellectual property that you claim has been infringed;

    • A description of where the material that you claim is infringing is located on the Website (providing URL(s) in the body of the communication is the best way to help Ranieri Law locate content quickly);

    • Your name, address, telephone number, and e-mail address; and

    • A statement that you have a good faith belief that the disputed use is not authorized by the intellectual property owner, its authorized representative, or applicable law, and that the information provided in the notice is accurate and complete to the best of your knowledge.

Ranieri Law may, in its sole discretion, disable or terminate the use of a site or sites by users who infringe the intellectual property of others.

While Ranieri Law makes reasonable efforts to review and maintain the accuracy of such content, Ranieri Law makes no representations or warranties regarding the completeness, accuracy, reliability, timeliness, or suitability of any such content. 

  • Privacy Policy. By using the Website, you acknowledge that Ranieri Law may collect, use, disclose, retain, and safeguard personal information in accordance with our Privacy Policy. The Privacy Policy forms an integral part of these Terms of Use and should be reviewed together with this Agreement. 

  • Accessibility. Ranieri Law is committed to providing an accessible online experience and strives to comply with applicable accessibility legislation, including the Accessibility for Ontarians with Disabilities Act, 2005 (Ontario).   • Governing Law. By accessing or using the Website, you agree that all matters relating to your access or use of the Website and Content shall be governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of laws principles. You further agree to submit to the jurisdiction of the courts of the Province of Ontario with respect to all matters relating to your access and use of the Website. 
     

  • Miscellaneous.

    • If any provision of this Agreement is held to be illegal, invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect. 

    • Headings are used for reference purposes only, and in no way define, limit, construe or describe the scope or extent of such section. 

    • Ranieri Law’s failure to act with respect to any failure by you or others to comply with these Terms of Use does not waive Ranieri Law’s right to act with respect to subsequent or similar failures. 

    • These Terms of Use set forth the entire understanding and agreement between you and Ranieri Law regarding the subject matter hereof. 

    • You may not assign or otherwise transfer your rights or obligations under this Agreement without the prior written consent of Ranieri Law, and any assignment or transfer in violation of this provision shall be null and void. 

    • Ranieri Law reserves the right to seek all remedies available at law and in equity for violations of this Agreement and the rules and regulations set forth on the Website, including, without limitation, the right to block access from a particular internet address.
